By accessing or using Northyx ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including business owners, team members, and accountants.
2. Description of Service
Northyx provides cloud-based accounting software designed for Canadian businesses. Our services include:
- •Invoice creation and management
- •Expense tracking and receipt capture
- •Canadian tax calculations (GST/HST/PST)
- •Financial reporting and CRA-friendly exports
- •Team collaboration and role-based access
3. Account Registration
To use Northyx, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
4. Subscription and Payment
Northyx offers subscription-based pricing. By subscribing, you agree to:
- •Pay all applicable fees in Canadian dollars (CAD)
- •Provide valid payment information
- •Accept automatic renewal unless cancelled
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
5. Acceptable Use
You agree not to:
- •Use the Service for any unlawful purpose or to facilitate illegal activities
- •Attempt to gain unauthorized access to our systems
- •Interfere with or disrupt the Service
- •Upload malicious code or content
- •Resell or redistribute the Service without authorization
6. Your Data
You retain ownership of all data you upload to Northyx. You grant us a limited license to use your data solely to provide the Service. We will not access your data except as necessary to operate the Service, provide support, or comply with legal obligations.
You are responsible for maintaining backups of your data. While we implement reasonable backup procedures, we are not liable for data loss.
7. Intellectual Property
The Service, including all software, designs, text, and graphics, is owned by Northyx and protected by Canadian and international intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.
8. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or secure. Northyx is not a substitute for professional accounting or tax advice. You should consult with qualified professionals for specific financial and tax matters.
9. Limitation of Liability
To the maximum extent permitted by law, Northyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
10. Termination
We may suspend or terminate your account if you violate these terms or engage in fraudulent activity. You may terminate your account at any time. Upon termination, your right to use the Service ends immediately. We may retain certain data as required by law.
11. Governing Law
These Terms are governed by the laws of Canada and the province of Ontario, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new terms.
